Alberta Annual Return Checklist for Law Firms
Annual returns work best as a repeatable firm workflow: confirm the information, assign responsibility for the filing, and keep evidence with the corporate records. This checklist covers ordinary Alberta business corporations. Cooperatives and corporations incorporated elsewhere need their own filing requirements checked.
1. Confirm the Corporation and Filing Period
Check the legal name, corporate access number, governing jurisdiction and registry reminder against the firm's records. Record the applicable due date and assign a person to follow up. Confirm the reporting period with the service provider before preparing the return, especially where a corporate reorganization has occurred.
2. Reconcile Shareholder Information
Alberta's filing instructions call for the names, addresses and percentages of issued voting shares for the top five shareholders. Compare that information with the share register and relevant transactions. Ask the responsible lawyer to resolve conflicting records before the return is prepared.
3. Check Changes and Obtain Instructions
Confirm director and office information rather than copying last year's return. Changes may need separate notices; an annual return should not be treated as a substitute for those filings. Agree who confirms the information and authorizes the firm to proceed, then record those instructions in the matter file.
See the Alberta director update guide for the separate director notice workflow.
4. Use an Authorized Service Provider
Ordinary Alberta corporate annual returns are submitted through an authorized Corporate Registry service provider. Follow its requirements for the current form, identification and payment. Direct filing instructions for cooperatives are a separate process and should not be reused for an ordinary corporation.
5. Confirm Fees Before Filing
Obtain a current quote that distinguishes the government fee from the provider's service fee. Record the agreed cost and billing instructions. Avoid relying on an old fee amount copied from an earlier matter or a third-party article.
6. Close the Loop in the Minute Book
Keep the completed return, filing confirmation and receipt with the corporation's records. Record who filed it and when, follow up on rejected or incomplete filings, and set the next reminder. This evidence helps the next person distinguish a completed filing from a draft or an instruction to file.
